The reporting question: Who would own the combined Marvell–Lumentum company, and what still needs approval?

Payment would be in shares

Lumentum common stockholders would receive 4.500 Marvell common shares for each share held at closing under the announced headline terms. The companies’ $115 billion implied enterprise value uses October 28 reference prices. It describes a valuation, not a cash payment or a revenue figure. [2] [3]

The hardware plan remains a claim to test

For people buying, supplying or working on data-center equipment, the proposed combination concerns the hardware that connects computing systems. The companies describe joining Marvell’s interconnect and switching technology with Lumentum’s lasers, optical transceivers and optical circuit switching. They argue that closer design integration will improve connectivity. This announcement supplies no independent performance or customer-cost test. [6]

Approval and integration are separate hurdles

Both companies’ stockholders and regulators still have decisions to make. The expected first-half-2028 closing is the issuers’ timetable. Their own risk disclosure warns that customer spending can change, operations and relationships can be disrupted, and integration or expected benefits can fail. No lower bill, staffing change or completed product improvement is established here. [7] [8]

Read the next deal documents

Use the SEC index to open Exhibit 99.1 and check the exchange terms, ownership denominator and approval conditions yourself. Marvell plans a Form S-4 with a joint proxy statement and prospectus. Those documents, when available, are the next place to examine the transaction in fuller detail before a security-holder decision. [9] [2] [4] [5] [7]

What remains open.

  • The announcement and its SEC custody are one interested issuer source family; they do not provide independent validation of the technical or commercial benefits.
  • The complete executed merger agreement, later definitive proxy/prospectus, regulatory decisions and any updated timetable are not inspected in this case. No detailed contractual or tax advice follows.
  • No independently tested performance, cost or power baseline, customer adoption result, paid-demand increment, staffing outcome or integration result is established.
  • The archive photograph’s location is not established, and it shows general equipment context only.
  • Publisher browser check could not open the SEC filing index in an ordinary reader browser. The help link uses the original joint announcement hosted by Marvell instead; it opened as a PDF download in unchanged Chromium on November 2. This is the same interested issuer source family as Exhibit 99.1, not independent corroboration, a completed acquisition, the later joint proxy/prospectus or a shareholder voting deadline. The original SEC captures and failed access check remain retained.

A changed agreement, definitive joint proxy/prospectus, original approval or termination record, revised timetable, independently reproducible product evaluation, or documented customer/staffing outcome would reopen this account.
